Terms of Service

Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using Hydra ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our Service. Your continued use of the Service constitutes acceptance of any changes to these Terms.

Important Notice

These Terms include an agreement to resolve disputes through arbitration. Please read Section 13 carefully.

2. Definitions

  • "Account" means the account you create to access and use the Service.
  • "Company" means the business entity you create or manage within the Platform.
  • "Content" means any data, text, images, or other materials uploaded to or generated through the Service.
  • "Subscription" means the paid plan you select to access Service features.
  • "User" means any individual who accesses or uses the Service, including account holders and team members.
  • "Service Job" means a work order or service record created within the Platform.

3. Account Registration

Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By registering, you represent that you meet these requirements.

Account Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials.

Account Security

You are responsible for all activities that occur under your account. You must:

  • Maintain strong, unique passwords
  • Enable two-factor authentication when available
  • Notify us immediately of any unauthorized access
  • Not share your account credentials with others

Team Members

If you invite team members to your Company, you are responsible for their compliance with these Terms. You may manage team member access and permissions through your account settings.

4. Subscriptions & Payments

Subscription Plans

The Service offers various subscription plans (Starter, Plus, Ultra, Enterprise) with different features and pricing. Plan details are available on our pricing page.

Billing

  • Payment Methods: We accept payments through Xendit, including GCash, Maya, credit/debit cards, and bank transfers
  • Billing Cycle: Subscriptions are billed monthly or annually, as selected at checkout
  • Currency: All prices are in Philippine Pesos (PHP) unless otherwise stated
  • Taxes: Prices may be subject to applicable taxes (VAT/withholding tax)

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel auto-renewal through your account settings at any time before the renewal date.

Refunds

Subscription fees are generally non-refundable. However, you may request a refund within 7 days of initial purchase if you have not substantially used the Service. Refund requests will be evaluated on a case-by-case basis in accordance with the Consumer Act of the Philippines (RA 7394).

Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at your next billing cycle. Continued use after the price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must NOT:

Prohibited Activities

  • Violate any applicable laws, including Philippine laws and regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for fraudulent or deceptive purposes
  • Harass, abuse, or harm other users
  • Scrape or collect data without authorization
  • Resell or redistribute the Service without permission
  • Use the Service to send spam or unsolicited communications

Compliance with Laws

You are responsible for ensuring your use of the Service complies with all applicable laws, including but not limited to:

  • Data Privacy Act of 2012 (RA 10173)
  • Cybercrime Prevention Act of 2012 (RA 10175)
  • Consumer Act of the Philippines (RA 7394)
  • E-Commerce Act (RA 8792)
  • Labor Code of the Philippines

6. Intellectual Property

Our Intellectual Property

The Service, including its design, features, code, documentation, and branding (logos, trademarks, service marks), is owned by Hydra and protected by Philippine and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use such feedback without obligation to you.

7. User Content & Data

Your Content

You retain ownership of all Content you upload to the Service. By uploading Content, you grant us a limited license to host, store, and display your Content solely for the purpose of providing the Service.

Data Responsibility

You are responsible for:

  • The accuracy and legality of your Content
  • Obtaining necessary consents from individuals whose data you upload
  • Maintaining appropriate backups of your data
  • Complying with data privacy laws when handling customer information

Data Processing

When you use the Service to process personal data of your customers or employees, you act as the Personal Information Controller under the Data Privacy Act. We act as your Personal Information Processor. Our data processing practices are governed by our Privacy Policy.

Data Export

You may export your data at any time through the Service's export features. Upon account termination, you will have 30 days to export your data before it is permanently deleted.

8. Service Availability

Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance or security updates
  • Factors beyond our control (internet outages, natural disasters)

Modifications

We may modify, update, or discontinue features of the Service at any time. For significant changes that affect your use, we will provide reasonable notice.

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Third-Party Services

The Service may integrate with or contain links to third-party services, including:

  • Payment processors (Xendit)
  • Cloud infrastructure providers
  • Communication services

Your use of third-party services is governed by their respective terms and policies. We are not responsible for the content, functionality, or practices of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

Consumer Protection

Nothing in these Terms shall limit your rights under the Consumer Act of the Philippines (RA 7394) or other mandatory consumer protection laws.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hydra, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your Content or data uploaded to the Service

12. Termination

By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You may also request account deletion by contacting support.

By Us

We may suspend or terminate your access to the Service:

  • For violation of these Terms
  • For non-payment of subscription fees
  • If required by law or legal process
  • For prolonged inactivity (with prior notice)
  • If we discontinue the Service (with 90 days' notice)

Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • You will have 30 days to export your data
  • Outstanding fees remain payable
  • Provisions that by their nature should survive will continue to apply

13. Dispute Resolution

Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the matter within 30 days.

Mediation

If informal resolution fails, disputes shall first be submitted to mediation in accordance with the ADR Act of 2004 (RA 9285). The mediation shall be conducted in Davao City, Philippines.

Arbitration

If mediation is unsuccessful, disputes shall be resolved through binding arbitration administered by the Philippine Dispute Resolution Center, Inc. (PDRCI) in accordance with its rules. The arbitration shall be conducted in Davao City, Philippines, in English.

Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class actions or collective proceedings.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.

Any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts of Davao City, Philippines. You consent to the jurisdiction of such courts.

Applicable Laws

These Terms are subject to and shall be interpreted in accordance with:

  • Civil Code of the Philippines
  • E-Commerce Act (RA 8792)
  • Consumer Act of the Philippines (RA 7394)
  • Data Privacy Act of 2012 (RA 10173)
  • Alternative Dispute Resolution Act of 2004 (RA 9285)

15. Changes to Terms

We may modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top
  • For material changes, we will notify you via email or through the Service
  • Changes take effect 30 days after notification unless otherwise stated
  • Continued use after the effective date constitutes acceptance

If you do not agree to the modified Terms, you must discontinue use of the Service before the changes take effect.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Hydra regarding the Service.

Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
